Terms of Service

1. Acceptance of Terms

By accessing or using PropertyFlow's lead automation services, you agree to be bound by these Terms of Service. PropertyFlow is operated by Flowbyte, a digital marketing and automation agency based in Casablanca, Morocco. If you do not agree to these terms, you may not use our services.

2. Service Description

PropertyFlow provides:

Automated lead capture and tracking for foreign real estate buyers
Zone eligibility verification for Saudi Arabian property sales
Multi-language automated response systems (WhatsApp, email)
Finance pre-qualification calculations
Agent assignment and performance tracking
Compliance audit trail for REGA inspections

This is a Software-as-a-Service (SaaS) platform. You do not own the underlying technology, code, or infrastructure.

3. Eligibility

You must be 18+ years old or have legal authority to represent your company
Services are intended for real estate agencies in Saudi Arabia and GCC region
You must have valid business registration and real estate operating license
Compliance with Saudi Arabian foreign ownership laws (January 2026) is required

4. Account Registration

Accurate information required during signup
You are responsible for account security and password protection
Unauthorized access must be reported immediately
One account per company (multi-user access available in Professional/Enterprise tiers)
Account sharing prohibited unless explicitly authorized

5. Payment Terms

Pricing structure:

Starter: SAR 45,000 setup + SAR 7,500/month
Professional: SAR 75,000 setup + SAR 15,000/month
Enterprise: SAR 120,000 setup + SAR 22,500/month

Payment terms:

Setup fee: Due within 7 days of contract signing
Monthly subscription: Billed in advance on 1st of each month
Payment methods: Bank transfer, credit card (Visa, Mastercard)
Auto-renewal: Subscription renews automatically unless cancelled
Late payment: 15% penalty after 7 days, service suspension after 14 days
Currency: Saudi Arabian Riyal (SAR)

6. Refund Policy

Setup fee: 30-day money-back guarantee (if service not implemented)
Monthly subscription: No refunds on partial months
Pro-rated refunds: Available for annual plans cancelled mid-year
Refund requests: Must be submitted in writing to billing@flowbyte.com
Processing time: 14 business days

7. Service Implementation

Timeline: 2-3 weeks from contract signing
Training: 3 sessions included (agents, operations, executives)
Support: 30-90 days priority support depending on tier
Requirements: You must provide access to Google Workspace, WhatsApp Business API
Delays: Not responsible for delays caused by client unavailability

8. Service Level Agreement (SLA)

Target uptime: 99.5% monthly
Scheduled maintenance: Announced 48 hours in advance (max 4 hours/month)
Support response times:
- Starter: 24 hours
- Professional: 12 hours
- Enterprise: 4 hours (dedicated manager)
No guarantee of uninterrupted service
Downtime credits: 5% monthly fee credit for each 1% below 99.5% uptime

9. Data Ownership and Usage

Your data: You retain full ownership of all lead data, client information
PropertyFlow data: We own the software, algorithms, compliance databases
License: You receive a non-exclusive, non-transferable license during active subscription
Data export: Available at any time in CSV/Excel format
Data deletion: Available within 30 days of account termination

10. Compliance Responsibilities

PropertyFlow assists with:

Zone eligibility verification against approved areas
Audit trail creation for REGA inspections
Document tracking and compliance logging

You remain responsible for:

Final approval of property sales
Legal compliance with all Saudi regulations
Verification of buyer documentation
Agent training on compliance procedures

IMPORTANT: PropertyFlow is a tool to assist compliance. The ultimate responsibility for regulatory adherence rests with your agency.

11. Prohibited Use

You may NOT use PropertyFlow to:

Violate Saudi Arabian property laws or REGA regulations
Sell properties in prohibited zones to foreign buyers
Process fraudulent or illegal transactions
Spam or harass potential buyers
Reverse engineer, copy, or resell our software
Share account access with competitors
Store illegal content or malware

Violation results in immediate account termination without refund.

12. Intellectual Property

PropertyFlow name, logo, and branding: © 2026 Flowbyte
Software code and algorithms: Proprietary to Flowbyte
Client data and customizations: Owned by client
Compliance databases: Licensed from official Saudi sources
No reproduction or distribution without written permission

13. Limitations of Liability

PropertyFlow is provided "as is" without warranties:

No guarantee of specific business results (revenue, conversions)
Not liable for indirect, consequential, or punitive damages
Maximum liability: Limited to fees paid in previous 3 months
Not liable for third-party service failures (Google, WhatsApp downtime)
Not liable for regulatory fines (though we help prevent them)

14. Indemnification

You agree to indemnify Flowbyte against:

Claims arising from your misuse of PropertyFlow
Violations of Saudi regulations by your agency
Breach of these Terms of Service
Infringement of third-party intellectual property rights

15. Term and Termination

Term: Month-to-month unless annual contract signed
Cancellation: 30 days written notice required
Immediate termination: For non-payment or terms violation
Effect of termination:
- Service access revoked immediately
- Data export available for 30 days
- No refund on current billing period
- Outstanding payments due immediately

16. Modifications to Service

We may update PropertyFlow features at any time
Major changes: Announced 14 days in advance
Pricing changes: Grandfathered for existing clients (60 days notice for new rates)
New features: Automatically available in your tier
Deprecated features: 90 days notice before removal

17. Dispute Resolution

Governing law: Moroccan law (Flowbyte headquarters)
Saudi operations: Subject to Saudi Arabian commercial regulations
Dispute process:
1. Good faith negotiation (30 days)
2. Mediation (if negotiation fails)
3. Arbitration in Casablanca or Riyadh (parties choose)
No class action lawsuits
Language: English or Arabic (both valid)

18. Force Majeure

Not liable for delays/failures due to:

Natural disasters, wars, pandemics
Internet/infrastructure failures beyond our control
Government actions or regulatory changes
Third-party service provider outages (AWS, Google, WhatsApp)

19. Entire Agreement

These Terms constitute the complete agreement
Supersedes all prior verbal or written agreements
Amendments: Must be in writing and signed by both parties
Severability: Invalid clauses removed, rest remains valid
